INDEPENDENT RESELLER TERMS AND PRIVACY POLICY

Between Cel-Elements Holdings (M) Sdn. Bhd. and the Independent Reseller

1. General Provisions

  • Cel-Elements Holdings (M) Sdn. Bhd. is a distributors and traders in all kind of beauty & cosmetic products company which provides its products to consumers via independent Agent/Beautician
  • The policy and procedures outlined in this document are for all Agent/Beautician.
  • An (Agent/Beautician) is an independent person and not an employee, agent or partner in Cel-Elements Holdings (M) Sdn. Bhd.

2. Eligibility and Appointment

  • A person must be 18 years old to become a Agent/Beautician.
  • An (Agent/Beautician) is a person who has submitted the (Agent/Beautician) Agreement and accepted by the company.
  • A prospect must fill in the (Agent/Beautician) Agreement form together with Annual Renew (Agent/Beautician) Fee.
  • Cel-Elements Holdings (M) Sdn. Bhd. must receive an original agreement form completed with signature and dated without any amendments on it.
  • Company has all the rights to accept or decline anyone from becoming an (Agent/Beautician).

3. Account Maintenance and Administration

  • An Annual Renew (Agent/Beautician) and Platform Fee needs to be paid to Cel-Elements Holdings (M) Sdn. Bhd. for the continuation as active Agent/Beautician and using Cel-Elements Holdings (M) Sdn. Bhd. online platform to make sales and generate reports.
  • The annual fees must be paid on the anniversary for their (Agent/Beautician)ship.
  • It is the responsibility of the reseller to inform Cel-Elements Holdings (M) Sdn. Bhd. on any update of particulars on his/her (Agent/Beautician)ship i.e. name, address and telephone numbers.
  • All changes should be in writing and must reach Cel-Elements Holdings (M) Sdn. Bhd. at least 30 days before changes can be effected.
  • The company has all the rights to approve the changes on the business name or (Agent/Beautician)ship or company, and all changes should be requested in writing before approval.

4. Intellectual Property and Confidentiality

  • Company name, trademark and logo can only be used upon written approval.
  • The company name permitted in name cards, letter head or any printed material must always include “Independent Reseller”.
  • The (Agent/Beautician) ID, password and Security PIN is as per the email sent to them after online registration.
  • The Password and Security PIN are confidential and should not be revealed to third party at any time.
  • Confidential information on reseller’s organization or downline is for upline resellers only.
  • The information could not be used for other purposes other than permitted by Cel-Elements Holdings (M) Sdn. Bhd. and should not be revealed to third party.
  • All organizational reports produced by Cel-Elements Holdings (M) Sdn. Bhd.. (i.e. reward points, downline report, commission statement, e.t.c) are Cel-Elements Holdings (M) Sdn. Bhd.s property and resellers are prohibited from disseminating the information.

5. Product Sales, Returns, and Customer Service

  • An Agent/Beautician must purchase all products directly from the company.
  • An Agent/Beautician must respond to any complaints by his/her customers as soon as possible and take all necessary steps to assist the customers.
  • A 7 days cooling off period will be extended to consumers/customers for products purchased worth RM300.00 and above.
  • Consumers/resellers who wish to return or exchange any goods can do so with good reason and proper documentation.
  • Agent/Beautician who wish to exchange the returned products must submit the original customer receipt together with the product and completed forms.
  • For assistance, kindly contact our customer service personnel.

6. Financial Terms: Commissions and Taxes

  • Commission calculation and payout is based on monthly basis, which is on every first day of the month will calculate and payout previous month commission.
  • The total commission will be reflected on respective reseller’s e-wallet, which can be accessed on Cel-Elements website by logging into respective account.
  • A reseller can also check on respective sales report and commission report on the account.
  • The Cel-Elements Holdings (M) Sdn. Bhd. online system will keep all your order/purchased data and your downlines.
  • All local income tax requirements will be observed.

7. Transfer, Cancellation, and Termination

  • An Agent/Beautician cannot sell, give or transfer the status and (Agent/Beautician)ship to another third party in any circumstance.
  • Cel-Elements Holdings (M) Sdn. Bhd. has the right to deactivate the reseller account if the conduct stated above is found.
  • Upon death of a reseller, the rights, commission and responsibilities will be transferred to the next of kin upon written application together with proof and documents and approval from the company.
  • The (Agent/Beautician) Agreement can be cancelled at any time and reason by the (Agent/Beautician).
  • The cancellation must be submitted in writing to the Company.
  • sIf an Agent/Beautician resigned or being terminated, Cel-Elements Holdings (M) Sdn. Bhd. has the rights to stop any commission or other payments.

Part 2: Personal Data Protection Act (PDPA) Privacy Policy

1. Collection of Personal Data

In compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia, Cel-Elements Holdings (M) Sdn. Bhd. ("the Company") collects personal data when you register as an independent reseller, use our online platform, or make a purchase. Collected data may include, but is not limited to: name, identity card/passport number, email address, phone number, physical address, payment/bank account information, and transaction history.

2. Purpose of Data Collection

We process your personal data to:

  • Process your registration and manage your independent reseller account.
  • Facilitate product purchases, deliveries, and return/exchange requests.
  • Calculate and distribute commissions and manage e-wallets.
  • Provide customer support and resolve inquiries or complaints.
  • Comply with local legal and regulatory requirements, including tax obligations.

3. Disclosure of Personal Data

Your personal data is treated as strictly confidential. We will not sell or trade your data. We may disclose your personal data to:

  • Third-party service providers (e.g., courier services, payment gateways, IT support) strictly to fulfill our operational services.
  • Upline resellers (limited strictly to organizational reporting necessary for business operations).
  • Regulatory bodies or law enforcement agencies as required by Malaysian law.

4. Security of Personal Data

We implement appropriate technical and organizational security measures to protect your personal data against unauthorized access, disclosure, or accidental loss.

5. Right to Access and Correction

Under the PDPA, you have the right to access and correct your personal data. To update your particulars, you must notify the Company in writing at least 30 days before the changes take effect, as outlined in our Terms & Conditions. Agent/Beautician)

6. Consent

By submitting your information, registering as an Agent/Beautician, or using our platform, you consent to the collection and processing of your personal data as outlined in this policy.
